1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the website and services of the KN Institute for Leadership and Resilience (“KN-ILR”, “we”, “our”, “the Institute”), including training programs, consulting services, digital content, and registration forms.

By enrolling in any KN-ILR program, submitting a registration or inquiry form, or otherwise actively using our services, you confirm that you have read, understood, and agree to be bound by these Terms.

 

2. Eligibility

To register for KN-ILR courses, consulting, or online services, you must:

  • Be at least 18 years old

  • Provide accurate and complete information

  • Have the legal capacity to enter into binding contracts

 

3. Course Registration & Enrollment

By registering for a KN-ILR course or program, you acknowledge and agree that:

  • Registration becomes valid only after confirmation by KN-ILR

  • You are responsible for providing accurate contact and payment information

  • You are responsible for ensuring access to required tools (e.g., stable internet, email, video-conferencing platforms such as Zoom)

  • KN-ILR reserves the right to accept or decline registrations at its reasonable discretion

 

4. Payments & Fees

  • Unless otherwise agreed in writing, all fees must be paid in full before the course start date in GEL or EUR or another currency expressly specified on the invoice

  • Prices may vary based on region, promotional offers, or early-bird discounts

  • Unless stated otherwise, fees do not include applicable taxes, duties, or similar charges required by law

  • KN-ILR is not responsible for bank fees, currency conversion fees, or transaction charges imposed by third-party payment providers

 

5. Refund & Cancellation Policy

5.1 Participant Cancellations

All cancellation requests must be submitted in writing via email to info@kn-ilr.com.

  • Cancellations made 7 days or more before the course start date: 50% refund

  • Cancellations made less than 7 days before the course start date: non-refundable

  • No refunds are issued once a course has started

 

5.2 KN-ILR Cancellations

If KN-ILR cancels or reschedules a course, participants may choose either:

  • A full refund, or

  • Transfer to another available cohort or program

 

5.3 Force Majeure

KN-ILR shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, technical outages, government actions, public health emergencies, or other force majeure events. In such cases, KN-ILR may reschedule the course or offer alternative solutions at its reasonable discretion.

 

6. Attendance & Participation

Participants are expected to:

  • Attend live sessions as scheduled

  • Engage respectfully with trainers and other participants

  • Complete exercises or assignments where required

  • Refrain from recording, sharing, selling, or distributing course materials without authorization

KN-ILR reserves the right to remove participants for disruptive, abusive, or inappropriate behavior. In such cases, refunds may be withheld at KN-ILR’s reasonable discretion.

 

7. Intellectual Property

All materials provided by KN-ILR—including but not limited to slides, templates, exercises, recordings, workbooks, and documents—are protected by copyright and other intellectual property laws.

Participants may use course materials solely for personal, non-commercial learning purposes. KN-ILR grants the participant a limited, non-exclusive, non-transferable license to use the materials for this purpose.

Copying, reproducing, distributing, selling, publishing, or sharing materials without prior written permission from KN-ILR is strictly prohibited.

 

8. Use of Website & Digital Content

You agree not to:

  • Use the website or services for unlawful purposes

  • Attempt to interfere with website functionality or security

  • Copy, modify, or distribute website content without authorization

  • Impersonate another person or entity

KN-ILR may modify or discontinue website content or services at any time.

 

9. Data Protection & Privacy

Your use of KN-ILR services and website is governed by our Privacy & Cookie Policy, which explains how personal data is collected, processed, and protected.

 

Personal data is processed on the legal bases described in the Privacy & Cookie Policy, including consent where required by law.

 

10. Limitation of Liability

To the maximum extent permitted by law, KN-ILR shall not be liable for:

  • Losses caused by internet failures, technical issues, or third-party platform outages

  • Indirect, incidental, or consequential damages

  • Decisions or actions taken by participants based on course content or materials

 

In no event shall KN-ILR’s total liability to the participant exceed the total amount of fees paid by the participant to KN-ILR for the specific service or course giving rise to the claim.

 

Training content is provided for educational purposes only and does not constitute legal, financial, medical, or professional advice.

 

Nothing in these Terms affects any statutory rights that cannot be excluded or limited under applicable consumer protection laws. Specifically, nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by KN-ILR's negligence, or any other liability that cannot be excluded by applicable law.

 

11. Third-Party Services

KN-ILR may use third-party platforms and service providers (e.g., video-conferencing tools, email systems, payment providers). KN-ILR is not responsible for outages, failures, or issues caused by such third-party services.

 

12. International Use

KN-ILR operates from Tbilisi, Georgia, and provides services globally. Users are responsible for ensuring compliance with their local laws and regulations when accessing KN-ILR content or services.

 

13. Amendments

KN-ILR may update these Terms from time to time. Any updated version will be published on the website with a revised “Last updated” date.

 

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Georgia.

 

The parties agree to first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiations.

 

If such negotiations fail, the dispute shall be finally resolved by binding arbitration seated in Tbilisi, Georgia, in accordance with the applicable arbitration rules.

 

Nothing in this clause prevents KN-ILR from seeking injunctive or equitable relief before the courts of Georgia where necessary to protect its intellectual property or confidential information.
